5. Third-Party Rights
The provisions of Sections 1 (Copyright, Licenses, and Idea Submissions), 2 (Use of the Site), 3 (Limitation of Liability), and 4 (Indemnification) are for the benefit of SK Learning Online and its affiliates, officers, directors, employees, agents, and third-party service providers. Each of these parties shall have the right to enforce these provisions directly against you.
6. Term and Termination
This Agreement is effective until terminated by either party. SK Learning Online may terminate your access to the Site at any time, with or without cause or notice. Sections 1, 2, 3, 4, and 7 shall survive any termination of this Agreement.
7. Miscellaneous
This Agreement is governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of laws principles. Any legal action or proceeding arising out of this Agreement shall be brought exclusively in the courts of Manila, Philippines.
SK Learning Online may assign its rights and obligations under this Agreement without notice to you. Your failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
Any rights not expressly granted in this Agreement are reserved by SK Learning Online.
